Terms of Service

These terms govern use of the Clerim platform at app.clerim.com and the website at clerim.com, operated by Clerim from Ontario, Canada ("Clerim", "we", "us"). By creating an account or using the service you agree to these terms. Clerim is currently offered as an early-access pilot; these terms reflect that stage and will evolve.

The service

Clerim is an operations platform for residential buildings: it records vendor visits, verifies insurance and compliance documents, captures work reports with photos and dictation, and gives building staff and managers a shared operational history. Features may change during the pilot.

Accounts

Accounts are created by invitation. You're responsible for keeping your password confidential and for activity under your account. Tell us immediately at hello@clerim.com if you believe your account is compromised.
Your access is scoped by the role a building or company administrator grants you, and can be changed or revoked by people authorized to manage it.

Your content and the building's records

Operational records created at a building (visits, reports, photos, documents) form part of that building's operational history, which belongs to the building's organization. We process those records on their behalf.
You confirm you have the right to submit what you upload or record — including that photos and dictations were captured in line with your role and the building's policies.
The record is append-only by design: corrections are recorded as amendments, not silent edits. That integrity is a core feature of the service.

Acceptable use

Don't misuse the service: no attempting to access buildings, records, or accounts you're not authorized for; no interfering with the service's operation or security; no submitting content that is unlawful or that you lack rights to; no using the service to harass or harm anyone. We may suspend accounts that put the service or its users at risk.

Privacy

Our Privacy Policy explains what we collect and how we handle it, including cross-border storage and AI-assisted features. It forms part of these terms.

Availability and warranty

The service is provided "as is" and "as available", without warranties of any kind, express or implied. As a pilot-stage product we don't guarantee uninterrupted availability, and buildings should maintain whatever independent procedures their legal obligations require.

Limitation of liability

To the maximum extent permitted by law, Clerim's total liability for any claims arising out of or relating to the service is limited to the amounts you (or your organization) paid us for the service in the twelve months before the claim, and we are not liable for indirect, incidental, special, or consequential damages, or for loss of profits, data, or goodwill. Nothing in these terms limits liability that cannot be limited under applicable law.

Termination

You may stop using the service at any time; a building's organization may end its participation by contacting us. We may suspend or terminate access for breach of these terms. Provisions that by their nature should survive (including data-ownership, liability limits, and governing law) survive termination.

Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it. Courts located in Ontario have exclusive jurisdiction, and both parties attorn to them.

Changes

We may update these terms as the product matures. We'll post changes here, update the date above, and notify account holders of material changes. Continued use after a change takes effect constitutes acceptance.
